These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Brewcode LLC, a limited liability company organized under the laws of the State of Delaware, USA, with its registered office at 1130 Ogletown Road, PMB # 1857, Suite 2, Newark, Delaware 19711, USA (“Brewcode,” “we,” “us,” or “our”), the developer and operator of the prmpts AI prompt platform (“prmpts” or the “Service”).

By registering for an account, accessing, or using prmpts, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy and Cookie Policy, which are incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Service.

If you are using prmpts on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms.

1. Description of Service

prmpts is a platform for creating, saving, organising, discovering, and sharing AI prompts. Core capabilities include:

  • Creating prompts with titles, content, variables, tags, and categories
  • Organising prompts into collections and saving bookmarks
  • Publishing prompts and collections publicly, or keeping them private/as drafts
  • Discovering and copying prompts shared by the community
  • AI-assisted prompt generation and improvement (“prmpts AI”)
  • Public creator profiles and usage analytics
  • Subscription-based access across Free, Pro, and Premium tiers

The Service is provided on an “as is” and “as available” basis. We reserve the right to modify, suspend, or discontinue any feature or the Service itself at any time with reasonable notice.

2. Eligibility & Account Registration

  • You must be at least 18 years of age to use prmpts.
  • You must provide accurate, complete, and current registration information, including a valid email address.
  • You are responsible for maintaining the confidentiality of your account credentials.
  • You must notify us immediately at support@prmpts.app if you suspect unauthorised access to your account.
  • You are responsible for all activities that occur under your account, whether or not authorised by you.
  • You may not create multiple accounts to circumvent plan limits or to evade a suspension or termination.
  • One account is permitted per email address.

3. Your Content & Prompts — Responsibilities

You are responsible for the prompts, collections, and other content you create or upload (“User Content”). By using the Service, you agree:

  • You have the legal right to submit your User Content and that it does not infringe any third party’s intellectual property, privacy, or other rights.
  • You will not include in your User Content any confidential information, secrets, credentials, or personal data that you are not permitted to share — particularly in content you make public.
  • When you publish a prompt or collection publicly, you grant other users the right to view, copy, and use it within the Service. You are responsible for deciding what to make public.
  • You are responsible for backing up content that is important to you. We are not liable for User Content that is lost, deleted, or made inaccessible.

4. Sign-In Integrations (Google & GitHub)

prmpts lets you sign in using Google or GitHub via OAuth 2.0, for authentication only.

  • By signing in with a provider, you grant prmpts access to your basic profile (name, email, avatar) solely to create or access your account.
  • prmpts does not access your Google Drive, Gmail, GitHub repositories, or any other data from these providers.
  • You may set a password to enable email/password login independently of these providers.
  • prmpts’ use of Google API data adheres to the Google API Services User Data Policy.
  • Brewcode is not liable for any service interruption or change in API behaviour caused by Google or GitHub.

5. Data Ownership

You retain full ownership of all prompts, collections, and content you create within prmpts. We do not claim any intellectual property rights over your User Content.

By submitting User Content, you grant Brewcode a limited, non-exclusive, royalty-free licence to store, process, display, and transmit it solely for the purpose of providing the Service to you (and, for content you make public, to display it to other users). This licence terminates when you delete the relevant content or close your account, except for content you previously shared publicly that others have already copied.

6. Subscription Plans & Billing

6.1 Plan Tiers

prmpts offers the following subscription tiers (limits and pricing subject to change with notice):

  • Free: core features with usage limits — e.g. shorter prompt length, a limited number of public prompts and collections, bookmarks, and a limited analytics window.
  • Pro: higher limits — longer prompts, unlimited public and private prompts and collections, extended analytics, and access to advanced AI models.
  • Premium: highest limits — maximum prompt length, all-time analytics with export, expanded variables and tags, and priority support.

Current pricing and exact limits are shown on the pricing and upgrade pages within the Service.

6.2 Billing & Auto-Renewal

  • Paid subscriptions are billed in advance on a monthly or annual basis through Stripe.
  • Subscriptions auto-renew at the end of each billing period unless cancelled.
  • You authorise Brewcode (via Stripe) to charge your payment method on file for recurring subscription fees.
  • Annual plans are billed upfront for the full year.
  • If a payment fails, we may retry collection; continued failure may result in downgrade or suspension.

6.3 Plan Changes

  • Upgrades take effect immediately; you may be charged a prorated amount for the remainder of your billing period.
  • Downgrades / cancellations take effect at the end of the current billing period — you keep paid features until then, after which your account moves to the Free plan.
  • Moving to a plan with lower limits may result in loss of access to features or content that exceed the new plan’s limits.

6.4 Refunds

Except where required by applicable law, fees paid to prmpts are non-refundable, including where you cancel, downgrade, experience dissatisfaction, encounter technical issues, or do not use the Service during a paid period. When you cancel, your paid access continues until the end of the period already paid for.

7. Acceptable Use Policy

You agree to use prmpts only for lawful purposes and in accordance with these Terms. You must not:

  • Upload or publish content you do not have the legal right to use, or that infringes others’ rights.
  • Upload illegal, defamatory, obscene, hateful, or harmful content.
  • Use the Service or AI features to generate content that is unlawful, abusive, deceptive, or that facilitates harm.
  • Attempt to reverse-engineer, decompile, or extract the source code of prmpts.
  • Probe, scan, or test the vulnerability of our systems, or attempt to gain unauthorised access to the Service or other users’ accounts.
  • Use automated means (bots, scrapers, crawlers) to access or harvest the Service beyond normal use.
  • Resell, sublicense, or provide access to the Service to third parties without our written consent.
  • Share your account credentials with others.
  • Use the Service for spam, phishing, fraud, or other malicious activity.
  • Circumvent plan limits through technical means or by creating multiple accounts.
  • Use the Service in any manner that could overload, damage, or impair our infrastructure.

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account without notice and without refund.

8. Intellectual Property

8.1 prmpts IP

prmpts, its logo, visual design, underlying technology, software, and all related intellectual property are owned exclusively by Brewcode LLC and are protected under Indian and international intellectual property laws. Nothing in these Terms grants you any right to use our trademarks, trade names, or proprietary technology beyond what is necessary to use the Service.

8.2 User IP

You retain all intellectual property rights in the User Content you create. Brewcode does not acquire ownership of your prompts, collections, or generated outputs.

8.3 Feedback

If you submit feedback, suggestions, or ideas about prmpts, you grant Brewcode a perpetual, irrevocable, worldwide, royalty-free licence to use and incorporate such feedback into the Service without any obligation to you.

9. Third-Party Services & Integrations

prmpts integrates with third-party services including Google, GitHub, Stripe, Google Cloud Platform, MongoDB Atlas, and AI providers (Google Vertex AI, AWS Bedrock, OpenRouter). Your use of those services is subject to their respective terms and privacy policies. Brewcode:

  • Does not control third-party services and is not responsible for their availability, reliability, or data practices.
  • Is not liable for any loss, damage, or disruption caused by a third-party service’s outage, change in API, or modification of terms.
  • Does not guarantee that any third-party integration will remain available indefinitely.

10. Service Availability & Maintenance

  • We strive for high availability but do not guarantee uninterrupted or error-free access.
  • We may perform scheduled maintenance with advance notice where practicable, and emergency maintenance without prior notice.
  • Service downtime does not entitle you to a refund or credit.
  • We are not liable for any loss or damage resulting from service unavailability.

11. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, prmpts IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. BREWCODE TECHNOLOGIES PRIVATE LIMITED EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, NON-INFRINGEMENT, AND UNINTERRUPTED AVAILABILITY.

We do not warrant that: (a) the Service will meet your specific requirements; (b) AI-generated prompts, suggestions, or insights will be accurate, complete, original, or fit for any particular purpose; (c) any errors will be corrected; or (d) the Service is free of viruses or harmful components.

AI-generated output is provided as a suggestion only. You are solely responsible for reviewing, validating, and deciding how to use any AI-generated content. Brewcode is not liable for any consequences arising from your use of AI-generated output.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BREWCODE TECHNOLOGIES PRIVATE LIMITED, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE SERVICES.

Our total aggregate liability to you for any and all claims arising out of or relating to these Terms or the Service shall not exceed the total amount you paid to Brewcode in the three (3) months immediately preceding the event giving rise to the claim.

Brewcode is not liable for: (a) any unauthorised access to your account caused by your failure to maintain credential security; (b) any third-party service outage or change in API; (c) any inaccuracies in AI-generated output; (d) any content you choose to make public; or (e) loss of User Content you failed to back up.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, our liability is limited to the minimum extent permitted by law.

13. Indemnification

You agree to indemnify, defend, and hold harmless Brewcode LLC, its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or relating to:

  • Your violation of these Terms
  • Your use of the Service
  • Your violation of any applicable law or third-party rights
  • Any User Content you upload, publish, or process through the Service

14. Account Termination

14.1 Termination by You

You may cancel your subscription and delete your account at any time from your account settings. Cancellation stops future billing but does not entitle you to a refund for any current or past billing period; paid access continues until the end of the period already paid for.

14.2 Termination by Brewcode

We may suspend or terminate your account, with or without notice, if you violate these Terms or our Acceptable Use Policy; your account is used for fraudulent, illegal, or abusive activity; you fail to pay fees; we are required to do so by law; or we discontinue the Service. In cases of material violation, termination is immediate with no refund; otherwise we will provide reasonable notice.

14.3 Effect of Termination

  • Access to the Service ceases upon termination.
  • Your data is permanently deleted within 30 days of account closure (subject to legal retention requirements described in the Privacy Policy).
  • You should export your data before terminating; we are not responsible for data loss following termination.
  • Provisions that by their nature should survive termination shall continue to apply.

15. Privacy & Data Protection

Our collection and use of personal information is described in our Privacy Policy, incorporated into these Terms by reference. By using prmpts, you consent to our Privacy Policy.

16. Governing Law & Dispute Resolution

16.1 Governing Law

These Terms are governed by the laws of the Republic of India, including the Information Technology Act, 2000, the Indian Contract Act, 1872, and the Consumer Protection Act, 2019, without regard to conflict-of-law principles.

16.2 Dispute Resolution

In the event of a dispute, the parties shall first attempt to resolve it amicably through good-faith negotiations initiated by written notice to support@prmpts.app. If unresolved within 30 days, either party may refer the matter to arbitration.

16.3 Arbitration

Any unresolved dispute shall be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996 (as amended), conducted by a sole arbitrator appointed by mutual agreement, in the English language, seated in Bengaluru, Karnataka, India.

16.4 Jurisdiction

Subject to the arbitration clause above, the courts of Bengaluru, Karnataka, India shall have exclusive jurisdiction over any proceedings arising out of or relating to these Terms.

17. General Provisions

  • Entire Agreement: These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and Brewcode regarding the Service.
  • Severability: If any provision is found invalid or unenforceable, the remaining provisions continue in full force.
  • Waiver: Failure to enforce any provision does not constitute a waiver of that provision.
  • Assignment: You may not assign your rights under these Terms without our written consent; we may assign our rights to a successor entity.
  • Notices: We will communicate with you via the email address on your account; notices to us must be sent to support@prmpts.app.
  • Force Majeure: We are not liable for delays or failures caused by circumstances beyond our reasonable control, including natural disasters, government actions, power failures, or internet outages.

18. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email and a notice on our website at least 30 days before taking effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree, you must stop using the Service before the effective date.
